Terms of sale
For Seal five, Born on Keel and seats. Version of 10 Oct 2026. Plain words; if anything is unclear, ask before you buy.
- Who sells, and what
- Keel sells a software subscription in which firms keep statutory registers as sealed, hash-chained entries, with seats for outsiders and inspection packs. Keel sells software only. It does no secretarial work, files nothing with the Registrar of Companies, and gives no legal advice. Keel is not responsible for what is recorded. Each company remains responsible for its registers, and your firm for its own work and advice.
- Who may buy
- Practising company secretaries and chartered accountants, and their firms. You confirm you are buying for professional or business purposes.
- Seal five
- ₹25,000 for the first year covers up to five companies, including importing their registers from your exports. Each further company is ₹4,000 a year. No GST is charged.
- When the year starts
- Year one starts on the day the first book of the order opens on Keel, not on the day you order or pay. Born on Keel companies count from the day each opens.
- Renewal
- From the second year, each company is ₹4,000 a year. We send an invoice at least 30 days before renewal. Nothing renews unless the invoice is paid.
- Born on Keel
- A company your firm opens on Keel within 30 days of its incorporation is free for its first twelve months, then ₹4,000 a year. The renewal price is shown on your invoice from the first day. It is available to firms that keep at least one paid company on Keel.
- Prices and fees
- Prices are flat per company. They are never a share of your professional fees, and Keel bills nothing to your clients. Keel pays no referral rewards of any kind.
- Payment
- You may pay online through Razorpay or by invoice. The import is booked once payment is received. Online payments are processed by Razorpay; Keel never sees card or bank details. If your firm deducts tax at source, choose to pay by invoice, pay the net amount and send us the certificate; together they count as full payment.
- Invoices
- Each invoice names every company it covers and carries your firm's billing address and state. Keel does not charge GST at present; if that changes, prices stay exclusive of GST and the change is shown before your next invoice.
- Import
- We import the Excel or CSV files you send; registers kept in Gen CompLaw are exported to Excel first and we match their columns by hand. We list every mismatch for your team to decide; we change nothing without your firm choosing it. You choose the day each book opens on Keel; Keel vouches for nothing recorded before that day, and every extract says so.
- Cancellation and refunds
- Cancel before the import starts for a full refund. After the import starts, we refund whole unused months of the year paid, pro rata, within 14 days of your request. Where GST was charged, the refund includes it, with a credit note, or a refund voucher if no invoice had been issued yet.
- Your data and your exit
- Each company's books belong to that company; your firm keeps them on Keel for it. Whenever a company asks, your firm exports that company's whole book, with its fingerprints, and gives it to the company free of charge, including when the company moves to another firm. You may export the whole book, with its fingerprints, at any time and after cancellation for 90 days. Keel does not sell, share or use register content for anything but providing the service. Keel staff open register content only to import it and, after that, only when your firm asks for support.
- Seats
- Seats are granted by your firm on its client's instruction, are read-only, end on the date you set, and log every view. Keel never contacts, lists or refers your clients or anyone you grant a seat to.
- What Keel promises, and what it does not
- Keel keeps the chain so that later changes to sealed entries can be detected, keeps daily backups, and makes the book exportable. If Keel ever stops the service, firms get at least 90 days' notice and exports stay open throughout. Keel does not promise that a court, the Registrar or anyone else will accept a record, and does not vouch for the truth of what is recorded.
- Liability
- Keel's total liability in any year is limited to the fees you paid for that year. Keel is not liable for indirect or consequential loss. Nothing here limits liability that the law does not allow to be limited.
- Data protection
- Keel processes register content on your firm's instructions. If your firm uses Assist in the app, the text of each request and the entries it draws on are sent to Anthropic, which provides the language model. The privacy notice explains what this site collects. A data processing addendum is available on request.
- Changes to these terms
- If these terms change, the version date changes and the change appears on the Changes page. Changes apply from your next renewal unless you agree earlier.
- Law and disputes
- These terms are governed by the laws of India. Write to desk@keelregistry.com first; we reply within two working days. Courts at the place of Keel's registered office have jurisdiction.
